摘要
随着我国经济的飞速发展，民营企业在实体经济发挥着越来越重要的
作用，然而民营企业的发展仍然面对着融资困难的问题。控股股东股权质
押作为在资本市场获得融资的常见手段，在提供了更便利的融资途径的同
时，还有可能使公司和股东面临风险。创新是企业发展的关键驱动力，对
改善企业生产经营、增强企业市场竞争力有关键性作用，控股股东的股权
质押行为无疑会对企业的创新活动产生深远影响。当前新的技术和新兴业
态的不断涌现，这既带来了新的机遇，也带来了新的挑战，如何适应这些
变化，如何在变革中寻求发展，是我国企业必须面对的重要问题。
本文以闻泰科技公司为例，分析计算机、通信和其他电子设备制造业
公司控股股东股权质押行为对企业创新能力的影响。通过对计算机、通信
及其它电子设备制造业的实证分析，研究发现：控股股东的股权质押行为
会抑制上市公司的企业创新能力。而对闻泰科技进行案例分析，发现其控
股股东并不存在通过股权质押进行利益侵占行为，闻泰科技控股股东股权
质押并未抑制其企业创新。因此，对闻泰科技的发展、经营情况、融资活
动和创新活动进行分析，总结其开展创新活动的经验，并分别从政府监管、
企业和投资者层面提出建议。

Abstract
WiththerapiddevelopmentofChinaseconomy,privateenterprisesare
playingamoreandmoreimportantroleintherealeconomy.However,private
enterprisesstillfacetheproblemoffinancingdifficulties.Asacommonmeans
ofobtainingfinancinginthecapitalmarket,controllingshareholdersequity
pledgeprovidesamoreconvenientfinancingway,butitmayalsobringrisksto
thecompanyandshareholders.Innovationisthekeydriverofenterprise
development,whichcanimproveenterpriseproductionandmanagementand
enhanceenterprisemarketcompetitiveness.Theequitypledgebehaviorof
controllingshareholderswillundoubtedlyhaveaprofoundimpactonenterprise
innovationactivities.Newtechnologiesandemergingindustriescontinueto
emerge,whichbringnewopportunitiesandchallenges.Howtoadapttothese
changesandseekdevelopmentisanimportantissuethatcompaniesmustface.
