1.BINDINGAGREEMENT

ThisSoftwareLicenseAgreementisabindingagreementbetweenyou,ourcustomer(also

referredtoas“Customer”or“Licensee”),andWeidmüllerInterfaceGmbHCo.KG(“WM”).It

shallbecomeeffective,subjecttothefollowingterms(“Terms”),upon(1)signatureofawritten

agreementtowhichtheseTermsareattached,or(2)acceptanceofanofferwhichissubjectto

theseTermsor(3)byacceptingtheseTermswhendownloadingandinstallingbyaconfirmation

clickthatyouhavereadandunderstoodtheseTermsandfullyacceptthem(thedayonwhich

suchactionsoccurhereinafterreferredtoas“EffectiveDate”).

Youexplicitlyconfirmbytheactionsdescribedunder(1)to(3)abovethattheseTermsare

exclusivelyapplicableevenifyoushouldgenerallyusetermsofpurchasewhetherwithorwithout

provisionsthatallegedlyprevailovertheseTermssafewhereWMhasexplicitlyagreedto

provisionsdifferentfromtheseTermsinwritingandconfirmedbyWM’ssignature.

2.SCOPEOFTHEAGREEMENT

TheseTermsapplytotheuseoftheSoftwarewhichmaybealreadypre-installedonWeidmüller’s

hardwareproductsasfirmwareaswellastoWeidmüller’sstand-aloneSoftwareproducts

downloadedfromtheinternetordeliveredonmedialikeCDs,USB-sticks,dongles,etc.Where

indicatedinwriting,individual,separateoradditionallicensetermsmayapplytotheuseofspecific

WeidmüllerSoftwareproducts.

BytheseTerms,youdonotpurchasethesoftware,youaregrantedarighttousetheSoftware

inaccordancewiththeseTerms.ThepurchaseofanyaccompanyingorassociatedWeidmüller

hardwareproductsis,however,governedb
