a.“ConfidentialInformation”meansanyandallinformationdisclosedbyonepartytotheotherpartyinconnectionwiththeperformanceoftheContract,whethersuchinformationisdisclosedorallyorinwriting,andwhetherornotsuchinformationismarkedasconfidential.Suchinformationincludes,butisnotlimitedto,financialinformation,businessplans,marketingstrategies,technologyinformation,andpersonalinformation.
“保密信息”指一方在履行合同过程中向另一方披露的任何和所有信息，无论这些信息是口头还是书面披露，无论这些信息是否标记为保密信息。此类信息包括但不限于财务信息、商业计划、市场营销策略、技术信息和个人信息。
b.EachpartyacknowledgesthattheConfidentialInformationdisclosedtoitbytheotherpartyisconfidentialandproprietarytothedisclosingparty,andthatitshallbeusedsolelyforthepurposeofperformingtheContractandshallnotbedisclosedtoanythirdpartywithoutthedisclosingparty’spriorwrittenconsent.
